Format and Pricing

  • The course is offered as a series of nine (9) weekly live broadcast webinars

  • Wednesday Evening Courses - 4:00pm to 5:30pm ET

  • In the final week, we offer the option of (1) in-person review at our Growth and Exit Training Center in suburban Boston, which is also offered (2) as a Live Broadcast (student's choice)

  • During the Live Review we synthesize the content, build on the relationships established through the course, and administer the Final Exam

  • The Final Exam can be taken (1) in person, or (2) on your schedule via remote-proctored web meeting

  • Successful certification requires each student to deliver an Exit Plan for peer review; the plan does not need to be from a paid engagement, but must be for a client case

Course Structure


Two part program: (1) Pre-Work and (2) Certification, delivered by webinar to your home or office


1. Pre-Work: through self-paced online classes: learn the core concepts of Exit Planning while preparing for the full CBEC® course 


2. Certification: the CBEC® course is delivered over a series of nine weekly webinars, expanding on the material covered in pre-work. All classes are recorded and available for student review via the private Distance Learning Management System. The course culminates with a two day webinar review, followed by the CBEC® exam which is offered live or via proctored web meeting (student choice)

Course Details

Pre-Work: 'Core Concepts of Exit Planning'

CBEC® class attendees complete the International Growth & Exit Planning Association's (IGEPA) online Pre-Work 'Core Concepts of Exit Planning' course (included in the cost of training) prior to the first class. This online workshop is the first ten (10) hours of training delivered through twelve (12) online modules. The first CBEC course class will review the pre-work as we prepare for our deeper-dive into the Certification content.


CBEC Certification Course

Class #1: Program Orientation

This initial orientation class will have each of the attendees introduce themselves to the class so that attendees meet their classmates ahead of the in-person review, dinner, networking and final examination in Boston. On this call we will also discuss the format for the classes as well as review the content from the pre-work / online home study course (the first 10 hours of training). We’ll set goals and objectives for our study time together as well as do an overview of the CBEC® curriculum and faculty who will present the material. In addition, an overview of Pinnacle Equity Solutions' Membership program will also be provided for attendees who are interested in learning about the national network and licensing program that is an option to join once accepted into the CBEC® class.

Class #2: Private Capital Markets / MMS

Our first full curriculum class will review the CBEC® Private Capital Markets online modules and lessons from the text. PCM is a foundational text on the private markets and a key component to the exit planning study materials. A strong compliment to the PCM studies is the Middle Market Strategies book and teachings. Inside of the reading and pre-work of MMS are insights that indicate how much the private markets have changed in the past decade and how we can effectively communicate these changes to our business owner prospects and clients to improve their understanding of the markets as well as to enhance their exit plans.

Class #3: Mental Readiness & Value Gap

The pre-work teach us about IEPA’s 2nd step in the exit planning process addresses and the issues of whether the owner can the owner afford to exit as well as what is the emotional process that the owner is going through? In other words, what does the business mean to the owner and what might prevent a successful exit? Our deeper dive, CBEC® content focuses on the mental and emotional state of owners, with an emphasis on the fact that many owners are not prepared to exit today but need to do some planning to make the transition fit their desires. We also calculate a Value Gap for our case study business owner, Bill Brown, so that we can better understand the 2nd step in the Pinnacle process, Financial and Mental Readiness. Taught by faculty who authored the books on the topics presented.

Class #4: Business Valuation

Having calculated a Value Gap in class #3, we now focus our attention on how to expand our understanding of business valuations. The pre-work focused on the valuation of each exit option and why they vary. The pre-work focused on the range of values for each business exit option. Our deeper dive on Valuation will include lessons from the text and pre-work as well as a case study review of Acme Brewery and how to value Acme using different appraisal methodologies. The class is taught by faculty who wrote the text from the pre-reading assignments.

Class #5: Mid-Term Review & Exam

This class will review and integrate all content covered to date, including Private Capital Markets, Mental Readiness, Value Gap, and Growth Strategies. The review will be followed by a midterm examination that will be administered online. The midterm exam will follow the format of the final exam to serve as better preparation.

Class #6: Growth Strategies / External Transfers

After Class #3 taught us about the Value Gap and Class #4 teaches us how to understand valuation at a deeper level, we shift our focus to growth strategies. Today’s marketplace of owners have not only a Low Mental readiness for an exit, but a majority also have a Low Financial Readiness to exit. As such, we want to focus on how owners can grow the value of their businesses to work to close that Value Gap. This class will also expand on the lessons from the pre-work regarding The Five Major Transaction Options with a focus on the (1) sale transaction as well as the (2) Private Equity Group Recap. We expand on the lessons from the pre-work and apply the external transfer options to our case study. Faculty for Class #5 are the creators of growth software and authors of the white papers assigned as pre-work.

Class #7: Internal Transfers / Employee Stock Ownership Plans

Having covered growth strategies and external transfers, the focus shifts in this 6th class to internal transfers, including advanced training on Employee Stock Ownership Plans. The online modules included in the home study course / pre-work provided great details about the ESOP plan, including dedicating an entire module to the study of Employee Stock Ownership Plans and internal transfers. Beyond the ESOP, the MBO and Gifting options are likely to be considered by many owners who are looking for insiders to take over and run the business in the future – this may or may not include family members, an important consideration in this type of planning. Lessons include the tax inefficiency of internal transfers as well as faculty teachings on unique ways to structure internal transfer to align with owner goals and to be more tax efficient.

Class #8: Capstone Course & CTB™ Content

Our final content class covers the Capstone course material which focuses on pulling together all of the concepts taught in the curriculum as well as teaching combination strategies. The combination strategies are ways that different exit options can be combined in a very effective manner to provide highly sophisticated solutions to exiting owners. After completing coverage of the curriculum, there is a final session on the latest content titled ‘Creating a Transferable Business™’. This content has been developed over the past few years to assist CBEC® applicants and Pinnacle Members with addressing the needs of the exiting owner’s business, particularly for the Stay and Grow owners, which are the majority of owners in the marketplace today. The Creating a Transferable Business™ intellectual property and platform provides an alternate form of consulting for applicants who complete an exit planning process with owners.

Class #9: Pulling it all Together, Review / Exam Prep

In this final class, the content will be pulled together and there is an expanded conversation around being part of an effective exit planning team in your local market. This final class expands on ‘core’ exit planning team members as well as how to go to market with the exit planning concepts. The final portion of this 8th class also reviews the materials covered as an initial pass at the in-person review that will be covered at the live review session in Boston.

Live Review which is also broadcast, Membership Discussion, Exam

As a final step in the training process, all CBEC® applicants can travel to Boston for a live review, practice management and networking session in preparation for the final exam. The live review is also broadcast.

The live class will begin on 1:00ET on Thursday where we will have a live review session until 5:30pm. After the review session there will be a group dinner so that attendees can get to know each other as well as the Pinnacle team in a social setting. The following morning the review / practice management will continue with a panel discussion that includes CBEC® holders who share their stories of how they achieved success with the training and Pinnacle tools. After the panel discussion, the examination will be administered.
